Minnesota Real Estate Contracts: Exam Study Guide

Contracts make up approximately 17% of the national section of the Minnesota exam — the largest single topic area. Minnesota also has state-specific contract practices, including the mandatory use of the MN REALTORS Purchase Agreement form and the Seller's Disclosure of Property Condition (SDPC), that appear in the state section.

Elements of a Valid Real Estate Contract

  1. Mutual assent — Offer + acceptance of identical terms
  2. Consideration — Something of value exchanged
  3. Legally competent parties — Adults of sound mind, not under duress or fraud
  4. Lawful purpose — Cannot require illegal acts
  5. In writing — Statute of Frauds applies to real estate contracts

Listing Agreement Types

Exclusive Right to Sell — Broker earns a commission regardless of who sells the property (including the seller). Most protection for the broker. Standard in most Minnesota residential transactions.

Exclusive Agency — Commission paid only if the broker procures the buyer. The seller can find a buyer independently without paying a commission.

Open Listing — Multiple brokers may market. Commission only to the procuring broker. Seller retains the right to sell independently.

Net Listing — Broker's commission is the amount above the seller's net price. Prohibited in Minnesota due to the inherent conflict of interest. The exam tests that net listings are illegal.

The MN REALTORS Purchase Agreement

Minnesota is one of the few states that effectively mandates the use of standardized purchase agreement forms. The Minnesota Association of Realtors (MN REALTORS) Purchase Agreement is the standard form used in residential transactions throughout the state. The exam tests: - That Minnesota requires use of standardized forms (unlike states where any contract format is acceptable) - That the form is a legal, binding contract once signed by both parties

Seller's Disclosure of Property Condition (SDPC)

Minnesota's SDPC is required for residential property sales. Key facts: - Who completes it: The seller (not the agent) - Timing: Must be provided to the buyer before the purchase agreement is signed, or simultaneously with the offer - Buyer's right: If the seller provides the SDPC after the buyer signs the purchase agreement, the buyer has a right to rescind within a specified period after receiving it - What it covers: Known material defects, property condition, systems status

Key Contract Terms

Contingency — A condition that must be met for the contract to remain binding. Common: financing contingency, home inspection contingency, appraisal contingency, sale of buyer's home.

Earnest money — Held in trust by the broker. If the buyer defaults without a valid contingency, the seller may keep the earnest money.

Counteroffer — Rejects the original offer and creates a new one. The original offer is legally dead once a counteroffer is made.

Time is of the essence — When included, all deadlines are strict. Missing one may constitute breach.

Option contract — Buyer pays for the exclusive right to purchase at a set price within a set time. Buyer is not obligated to buy; seller is obligated to sell if the option is exercised.

Buyer's Broker Agreement — In Minnesota, must be in writing to establish buyer representation. Without it, the licensee is a facilitator, not a buyer's agent.

Common Exam Mistakes

  • Not knowing that net listings are prohibited in Minnesota
  • Confusing who prepares the SDPC (the seller, not the agent)
  • Forgetting that a counteroffer terminates the original offer
